These Terms & Conditions govern your use of Absolute Azerbaijan websites, property and hospitality services, Property Ops, Online Check-in, and partner tools.
1. About Absolute Azerbaijan
Absolute Azerbaijan LLC (Azerbaijani: Absolute Azerbaijan MMC), registered at D.Aliyeva 156, Baku, AZ1000, Azerbaijan ("Absolute Azerbaijan," "we," "us," or "our"), has provided property services across Azerbaijan since 2009. Our offering spans short-term rental management, renovation and custom property projects, staging (delivered in partnership with Mester24.az), and a suite of digital tools, including the Property Ops management software, the Online Check-in identity verification service, the partner portal at partner.absoluteazerbaijan.com, and our internal admin portal (together, the "Services").
2. Who These Terms Apply To
These Terms of Service ("Terms") apply to everyone who visits absoluteazerbaijan.com, submits an enquiry, registers for or uses the partner portal, uses the Property Ops software or Online Check-in service, or otherwise engages Absolute Azerbaijan for property management, renovation, or staging services (each, a "User," "you," or "your"). Depending on your relationship with us, you may be a property owner, an investor, a guest or tenant, a prospective or existing partner, a vendor, or simply a visitor to our website. Certain sections of these Terms apply only to specific categories of Users, as indicated.
3. Scope of These Terms
These Terms govern your use of our website and digital Services and, where applicable, incorporate by reference any signed management, renovation, staging, or partnership agreement between you and Absolute Azerbaijan. Where a signed agreement conflicts with these Terms on a specific point, the signed agreement prevails for that point; these Terms continue to apply to all other matters, including use of our website and digital tools. Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference.
4. Acceptance of These Terms
By accessing our website, submitting an enquiry, registering for the partner portal, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, you must not use our Services.
5. Accounts, Partner Portal & Admin Portal Access
Access to the partner portal and admin portal is granted through passwordless magic-link authentication sent to a registered email address. You are responsible for:
- Providing accurate registration information and keeping it up to date;
- Maintaining the security and confidentiality of the email account used to receive sign-in links, and not sharing sign-in links with unauthorized persons;
- All activity that occurs under your account, whether or not authorized by you, except to the extent caused by our negligence; and
- Promptly notifying us at [email protected] if you suspect unauthorized access to your account.
We may suspend or terminate account access as described in Section 15 (Suspension & Termination).
6. Managed Services
Subject to a separate management, renovation, or staging agreement where applicable, our managed services may include:
- Short-term rental management, including listing creation and optimization, pricing guidance, guest communication, cleaning and turnover coordination, and financial reporting to owners;
- Renovation and custom property projects, scoped and quoted individually, and delivered in coordination with our renovation and staging partner, Mester24.az; and
- Staging of properties for rental or sale readiness, delivered in coordination with Mester24.az.
The specific scope, fees, and duration of managed services are set out in the applicable signed agreement with each owner or client. Nothing in these Terms should be read as a standalone offer of managed services in the absence of such an agreement.
7. Property Ops Software & Online Check-in
We provide the following digital tools to support our managed services and, in some cases, independent partners:
- Property Ops, a software platform used to synchronize booking channels, coordinate cleaning and maintenance, and provide owners with dashboards and performance reporting;
- Online Check-in, a service allowing guests to verify their identity ahead of arrival by submitting identity documents and a photograph, helping owners and Absolute Azerbaijan meet applicable guest-registration obligations under Azerbaijani law; and
- The partner portal, through which owners and partners access reporting, communications, and account management functions.
These tools are provided on an "as available" basis and may be updated, modified, or discontinued from time to time, with reasonable notice where a change materially affects your use of the Services. You must use these tools only for their intended purpose and only in connection with a legitimate property, booking, or partnership relationship with Absolute Azerbaijan.
8. Acceptable Use
When using our website or Services, you agree not to:
- Provide false, misleading, or fraudulent information, including false identity documents submitted through Online Check-in;
- Attempt to gain unauthorized access to the partner portal, admin portal, Property Ops software, or any account not belonging to you;
- Interfere with, disrupt, or place an unreasonable load on our website, portals, or software infrastructure;
- Use our Services for any unlawful purpose, or in a manner that infringes the rights of any third party;
- Reverse-engineer, decompile, or attempt to extract the source code of the Property Ops software or Online Check-in service, except to the extent permitted by law; or
- Use automated tools to scrape, harvest, or extract data from our website or portals without our prior written consent.
9. Content and Intellectual Property
All content on absoluteazerbaijan.com and within the Property Ops software, Online Check-in service, partner portal, and admin portal, including text, graphics, logos, software, and the "Absolute Azerbaijan" name and branding, is owned by or licensed to Absolute Azerbaijan and is protected by applicable intellectual property laws. You may view and use this content for its intended purpose in connection with our Services, but you may not reproduce, distribute, modify, or create derivative works from it without our prior written consent. Content you submit to us, such as property descriptions, photographs, or documents uploaded for Online Check-in, remains yours, but you grant us a licence to use it as reasonably necessary to provide the Services.
10. Fees, Payments & Owner Payouts
Fees for managed services are set out in the applicable signed agreement and are typically calculated as a percentage of rental revenue, a fixed fee, or a project-based quote for renovation and staging work. Owner payouts are processed on a periodic basis in accordance with the applicable agreement, net of applicable commissions, expenses, and taxes required to be withheld under Azerbaijani law. Guest payments made through booking channels or directly to Absolute Azerbaijan are processed by regulated third-party payment providers; we do not store full payment card details. 11. Third-Party Services & Booking Channels
Our Services integrate with, or rely on, third-party platforms, including booking channels and online travel agencies (such as Airbnb and Booking.com), payment processors, cloud infrastructure providers, and our renovation and staging delivery partner, Mester24.az. These third parties operate under their own terms and privacy policies, over which we have limited control. We are not responsible for the acts, omissions, availability, or content of third-party platforms, although we will use reasonable efforts to address issues arising from our integrations with them where they affect the Services we provide directly.
12. Disclaimers
Our website and digital Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website, Property Ops software, or Online Check-in service will be uninterrupted, error-free, or entirely secure, or that rental income, occupancy, or investment outcomes will meet any particular expectation. Nothing in this Section limits liability that cannot be excluded under applicable Azerbaijani law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Absolute Azerbaijan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of our website or Services, even if we have been advised of the possibility of such damages. Where liability cannot be excluded, our aggregate liability arising out of or in connection with these Terms or a related management, renovation, or staging agreement shall not exceed the total fees paid or payable by you to us in the twelve (12) months preceding the event giving rise to the claim, except in cases of gross negligence, wilful misconduct, or where mandatory Azerbaijani law provides otherwise.
14. Indemnification
You agree to indemnify and hold Absolute Azerbaijan, its officers, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, the provision of false or fraudulent information (including through Online Check-in), or your violation of applicable law or the rights of a third party, except to the extent such claims arise from our own negligence or wilful misconduct.
15. Suspension & Termination
We may suspend or terminate your access to the partner portal, admin portal, Property Ops software, or Online Check-in service, in whole or in part, with or without notice, where we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, or where suspension is necessary to protect the security of our Services or other Users. Termination of a managed services relationship is governed by the notice and termination provisions of the applicable signed agreement. Sections of these Terms which by their nature should survive termination, including Sections 9 (Content and Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law & Jurisdiction), will continue to apply after termination.
16. Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan, without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Baku, Azerbaijan, save where mandatory consumer-protection law grants you the right to bring proceedings in your place of residence.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Updated Terms will be posted on this page. Where changes are material, we will take reasonable steps to notify affected Users, such as by email or a notice on the website, before the changes take effect. Continued use of our Services after updated Terms take effect constitutes acceptance of the changes.
