These Terms & Conditions govern your use of Absolute Azerbaijan websites, managed property services, Absolute Listing Marketing, Absolute Management Platform, Online Check-in, Hotel App, Hotel Voice, and partner tools. The English version is authoritative; translations are for convenience only.
1. About Absolute Azerbaijan
Absolute Azerbaijan LLC (Azerbaijani: Absolute Azerbaijan MMC), registered at D.Aliyeva 156, Baku, AZ1000, Azerbaijan (“Absolute Azerbaijan,” “we,” “us,” or “our”), has provided property and hospitality services across Azerbaijan since 2009. Our offering includes short-term rental management, renovation and custom property projects, staging (delivered in partnership with Mester24.az), Absolute Listing Marketing, and digital products including Absolute Management Platform, Absolute Online Check-in, Absolute Hotel App, Absolute Hotel Voice, the partner portal at partner.absoluteazerbaijan.com, and our internal admin tools (together, the “Services”).
2. Language and Authoritative Version
These Terms are prepared and published in English. Versions in Azerbaijani and Russian are provided for convenience only. If there is any conflict, ambiguity, or inconsistency between the English version and a translation, the English version prevails.
3. Who These Terms Apply To
These Terms of Service (“Terms”) apply to everyone who visits absoluteazerbaijan.com (including its language versions), submits an enquiry, registers for or uses the partner portal, uses Absolute Management Platform, Online Check-in, Hotel App, Hotel Voice, Absolute Listing Marketing tools, or otherwise engages Absolute Azerbaijan for property management, renovation, staging, marketing, or digital hospitality services (each, a “User,” “you,” or “your”). Depending on your relationship with us, you may be a property owner, investor, guest, host, hotel or guesthouse operator, partner, vendor, or website visitor. Certain sections apply only to specific categories of Users, as indicated.
4. Scope of These Terms
These Terms govern your use of our websites and digital Services and, where applicable, incorporate by reference any signed management, renovation, staging, marketing, software, or partnership agreement between you and Absolute Azerbaijan. Where a signed agreement conflicts with these Terms on a specific point, the signed agreement prevails for that point; these Terms continue to apply to all other matters, including use of our websites and digital tools. Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference.
5. Acceptance of These Terms
By accessing our websites, submitting an enquiry, registering for the partner portal, starting a free plan, requesting a quote, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, you must not use our Services.
6. Accounts, Partner Portal and Access
Access to partner and admin tools is typically granted through secure authentication (including passwordless magic-link authentication sent to a registered email address, or such other methods as we enable). You are responsible for:
- Providing accurate registration information and keeping it up to date;
- Maintaining the security and confidentiality of the email account and credentials used to access the Services, and not sharing sign-in links or credentials with unauthorised persons;
- All activity that occurs under your account, whether or not authorised by you, except to the extent caused by our negligence; and
- Promptly notifying us at [email protected] if you suspect unauthorised access to your account.
We may suspend or terminate account access as described in Section 16 (Suspension and Termination).
7. Managed Services, Renovation and Staging
Subject to a separate signed agreement where applicable, our managed and project services may include:
- Short-term rental management, including listing creation and optimisation, pricing guidance, guest communication, cleaning and turnover coordination, and financial reporting to owners;
- Renovation and custom property projects, scoped and quoted individually, and delivered in coordination with our renovation and staging partner, Mester24.az;
- Staging of properties for rental or sale readiness, delivered in coordination with Mester24.az; and
- Absolute Listing Marketing, including listing visibility, channel and demand programmes, on separately confirmed commercial terms.
The specific scope, fees, and duration of these services are set out in the applicable signed agreement. Nothing in these Terms is a standalone offer of managed or project services in the absence of such an agreement.
8. Digital Products
We provide digital products that may be used with managed services or, where offered, by independent hosts, hotels, and partners:
- Absolute Management Platform — operations software for reservations, guest journey, services, reporting, and day-to-day hospitality workflows;
- Absolute Online Check-in — branded guest dashboard, pre-arrival information collection, configurable verification steps, messaging, and in-stay service requests;
- Absolute Hotel App — branded hotel guest application packages for hotels and guesthouses, which may include verification, payments, booking, and in-stay features depending on the selected package;
- Absolute Hotel Voice — branded telephony / IVR and related voice operations tools, with optional AI features where contracted; and
- The partner portal and related admin tools for account, listing, and operational access.
Features, packages, free-plan limits, and go-live scope are described on the relevant product pages and confirmed in onboarding or a quote. Digital products are provided on an “as available” basis and may be updated, modified, or discontinued from time to time, with reasonable notice where a change materially affects your use. You must use these tools only for their intended purpose and only in connection with a legitimate property, booking, hotel, or partnership relationship.
Identity verification may use Azerbaijan’s digital identity systems (including SIMA where enabled) and payment processing may use regulated third-party providers (including AZN payment rails such as ePoint where enabled). Availability depends on configuration, local rules, and provider support. Operators remain responsible for their own legal, registration, tax, and compliance obligations unless a signed agreement expressly states otherwise.
9. Acceptable Use
When using our websites or Services, you agree not to:
- Provide false, misleading, or fraudulent information, including false identity documents or verification data;
- Attempt to gain unauthorised access to any portal, account, product, or system not belonging to you;
- Interfere with, disrupt, or place an unreasonable load on our websites, portals, or infrastructure;
- Use our Services for any unlawful purpose, or in a manner that infringes the rights of any third party;
- Reverse-engineer, decompile, or attempt to extract source code from our software, except to the extent permitted by law;
- Use automated tools to scrape, harvest, or extract data from our websites or portals without our prior written consent; or
- Misuse telephony, messaging, AI, or guest-facing tools to spam, harass, or deceive guests or third parties.
10. Content and Intellectual Property
All content on absoluteazerbaijan.com and within our digital products, including text, graphics, logos, software, and the “Absolute Azerbaijan” name and branding, is owned by or licensed to Absolute Azerbaijan and protected by applicable intellectual property laws. You may view and use this content for its intended purpose in connection with our Services, but you may not reproduce, distribute, modify, or create derivative works from it without our prior written consent. Content you submit to us (such as property descriptions, photographs, hotel branding assets, or guest documents) remains yours, but you grant us a licence to use it as reasonably necessary to provide the Services.
11. Fees, Payments and Owner Payouts
Fees for managed services, marketing programmes, and paid digital packages are set out in the applicable signed agreement, package description, or quote. They may be calculated as a percentage of rental revenue, a fixed or monthly fee, a project-based quote, or another agreed model. Owner payouts for managed properties are processed periodically in accordance with the applicable agreement, net of commissions, expenses, and taxes required to be withheld under Azerbaijani law. Guest and partner payments may be processed by regulated third-party payment providers; we do not store full payment card details. Any disputed charges should be raised promptly at [email protected].
12. Third-Party Services and Booking Channels
Our Services may integrate with or rely on third-party platforms, including booking channels and online travel agencies, payment processors, cloud and telephony infrastructure, digital identity providers, messaging providers, and our renovation and staging delivery partner, Mester24.az. These third parties operate under their own terms and privacy policies. We are not responsible for their acts, omissions, availability, or content, although we will use reasonable efforts to address issues arising from our integrations where they affect the Services we provide directly.
13. Disclaimers
Our websites and digital Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the websites or digital products will be uninterrupted, error-free, or entirely secure, or that rental income, occupancy, call handling, AI outputs, or investment outcomes will meet any particular expectation. Illustrative dashboards, demos, and marketing examples are not guarantees of results. Nothing in this Section limits liability that cannot be excluded under applicable Azerbaijani law.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Absolute Azerbaijan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of our websites or Services, even if we have been advised of the possibility of such damages. Where liability cannot be excluded, our aggregate liability arising out of or in connection with these Terms or a related agreement shall not exceed the total fees paid or payable by you to us in the twelve (12) months preceding the event giving rise to the claim, except in cases of gross negligence, wilful misconduct, or where mandatory Azerbaijani law provides otherwise.
15. Indemnification
You agree to indemnify and hold Absolute Azerbaijan, its officers, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, the provision of false or fraudulent information, or your violation of applicable law or third-party rights, except to the extent such claims arise from our own negligence or wilful misconduct.
16. Suspension and Termination
We may suspend or terminate your access to partner tools or digital products, in whole or in part, with or without notice, where we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, or where suspension is necessary to protect the security of our Services or other Users. Termination of a managed services, marketing, or project relationship is governed by the notice and termination provisions of the applicable signed agreement. Sections which by their nature should survive termination — including Sections 10, 14, 15, and 17 — continue to apply after termination.
17. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan, without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Baku, Azerbaijan, save where mandatory consumer-protection law grants you the right to bring proceedings in your place of residence.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Updated Terms will be posted on this page with a revised “Last updated” date. Where changes are material, we will take reasonable steps to notify affected Users before the changes take effect. Continued use of our Services after updated Terms take effect constitutes acceptance of the changes.
